3. Account Registration and Security

3.1 Account Creation

To use certain features, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

3.2 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Acceptable Use Policy

4.1 Permitted Use

You may use TalkViz for:

• Database querying and visualization
• File analysis and reporting
• Team collaboration on data projects

4.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to other users' data or accounts
• Upload malware, viruses, or malicious code
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to store or transmit infringing, libelous, or unlawful content
• Interfere with or disrupt the Service or servers

5. Data and Privacy

You retain all rights to your data. By using TalkViz, you grant us permission to:

• Access your database connections to execute queries on your behalf
• Process uploaded files for analysis and visualization
• Store query history and generated SQL queries
• Use anonymized, aggregated data to improve our AI models

5.2 Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission or storage is 100% secure. You are responsible for securing your database credentials and ensuring you have proper authorization to connect databases to our Service.

6. Subscription and Payment

6.1 Paid Plans

Certain features require a paid subscription. By subscribing, you agree to:

• Subscriptions are billed in advance on a monthly or annual basis
• All fees are non-refundable unless required by law

TalkViz and its original content, features, and functionality are owned by TalkViz and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

7.2 Your Rights

You retain all rights to your data, queries, and content. TalkViz does not claim ownership of any data you input, upload, or generate through the Service.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use them without any obligation or compensation to you.

8. Disclaimers and Limitations

8.1 Service Availability

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind. We do not guarantee that the Service will be uninterrupted, secure, or error-free.

8.2 AI Accuracy

While we strive for accuracy, our AI-generated queries and insights may contain errors. You are responsible for reviewing and validating all queries before execution. We are not liable for any data loss, corruption, or damage resulting from incorrect queries.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TALKVIZ SHALL NOT BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Data loss or corruption
• Unauthorized access to your data
• Errors or inaccuracies in AI-generated content

Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless TalkViz, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your violation of these Terms
• Your use or misuse of the Service
• Your violation of any laws or third-party rights
• Unauthorized database access or data breaches caused by your actions

10. Third-Party Services

The Service may integrate with third-party services and databases. We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is subject to their own terms and policies.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use after such modifications constitutes acceptance of the updated Terms.

12. Termination

12.1 By You

You may terminate your account at any time through your account settings or by contacting support.

12.2 By Us

We may suspend or terminate your account if:

• You violate these Terms
• Your account is inactive for an extended period
• We are required to do so by law
• Continued provision of the Service is no longer commercially viable

12.3 Effect of Termination

Upon termination, your right to use the Service immediately ceases. We may delete your data after a reasonable grace period. We are not liable for any loss resulting from termination.

13. Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

13.2 Dispute Resolution Process

In the event of any dispute:

1. Contact us at support@talkviz.in to resolve the issue informally
2. If unresolved after 30 days, disputes will be resolved through binding arbitration
3. Arbitration will be conducted in accordance with applicable arbitration rules
4. You agree to waive your right to a jury trial or class action

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TalkViz.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights without restriction.
